Job Description
We are looking for an in-house Legal Counsel to provide holistic legal support to our Corporate Solutions (CorSo) North America (NA) business. The Vice President, Legal Counsel position reports to the Head Corporate Solutions Legal NA and serves as a legal advisor for CorSo’s NA regional Legal team.

Along with advising a large commercial insurance business, Legal Counsel advises on a variety of legal, regulatory and corporate governance matters closely collaborating with internal stakeholders and external parties (including regulators, potential deal partners, and brokers). This role may also lead certain transactions or initiatives as lead counsel, with the assistance of other team members.
Key responsibilities also include:
- Lead legal review of indemnified and fronted insurance policy transactions, including ensuring regulatory compliance
- Lead legal review of parametric natural catastrophe and weather insurance, and structured (re)insurance policy transactions including policy wordings
- Provide pragmatic legal advice designed to enable and support regional business growth in compliance with appliable state and insurance law and regulations, while clearly articulating legal risks and opportunities
- Participate in inter-disciplinary projects and processes with key constituencies (Finance, Tax, Operations, Underwriting, Sales) and lead counsel for selected projects or initiatives, with the assistance of other team members
- Support legal entity management and corporate governance related issues, working closely with other regional legal team members
- Partner and collaborate with various regional and functional stakeholders within the company (such as other Legal teams, Compliance, Actuarial, Compliance, Contracts and Wordings, Finance, Internal Audit, Operations, Risk and Underwriting) to ensure holistic assessment and mitigation of risks
- Applying legal practices and controls that comply with Group guidelines, local corporate governance practice, statutory requirements and applicable regulatory agencies for CorSo regional entities
About the Team
In this position, you will be a part of the Corporate Solutions (CorSo) North America (NA) regional team, which consists of eight lawyers, primarily located in Kansas City, Missouri, United States. We provide business enabling, corporate governance, insurance regulatory and legal entity advice across the region. Corporate Solutions NA insurance carriers write (re)insurance in Property & Casualty, Accident & Health, and Credit & Surety lines of business. Corporate Solutions specializes in creating risk transfer solutions in the form of traditional insurance policies and large bespoke structured transactions.
About You

We are looking for experience with:
- Significant background in drafting and advising on complex agreements with large corporates involving credit risk and the use of indemnification, guarantees, letters of credit, and trust accounts
- Regulation of US direct insurance including credit for reinsurance and the use of captive (re)insurers
- Offshore captive or special purpose (re)insurers especially Bermuda-based entities preferred
- Insurance-linked securities and the use of transformer structures to transfer insurance risk to capital markets, and understanding risks imposed by securities laws for new offerings is a plus
Additional requirements:
- Admitted to the bar of at least one state in the United States, preferably Missouri, Kansas or Illinois depending on hiring office
- Minimum of 10 years legal experience in a large law firm setting or financial services, organization
- Sufficient experience and judgment to advise clients, and draft and approve agreements for unique circumstances or new types of (re)insurance arrangements
- Ability to identify, research and analyze difficult issues in ambiguous circumstances is a key requirement and to clearly and concisely summarize complex issues for senior leaders
- High personal integrity, with ability to apply highest ethical standards and maintain independence as a lawyer
- Established communication skills and demeanor to collaborate with risk managers, CFOs, and general counsels of large corporations as well as experienced Swiss Re deal structurers
- Understanding of insurance coverages, especially basic property, liability and professional indemnity coverages; credit and surety knowledge is a plus
- Strong presentation skills, with Word and Power Point proficiency
Ability to travel, with travel unlikely to exceed 10%. Business English fluency required.
