Position: Corporate Tax AssociateLocation: New York CitySalary Range: $225,000 – $415,000Top Tier Law FirmJob Overview:Our Client, a leading law firm, is seeking a highly skilled corporate (Transactional) Tax Associate with a minimum of 2 years of experience. This position is ideal for a candidate who has honed their skills in a large law firm or gained equivalent experience at a Big Four accounting firm. The successful candidate will bring a wealth of experience in negotiating, drafting, and advising on tax-related provisions in various transaction documents and will be adept at researching complex tax issues and structuring the tax aspects of corporate M&A and partnership transactions.Key Responsibilities:
- Transactional Document Expertise:
- Draft, review, and negotiate tax-related provisions in a wide array of transaction documents, including purchase agreements, merger agreements, partnership agreements, and credit agreements.
- Collaborate with deal teams to ensure that tax provisions are integrated smoothly and effectively into larger transaction agreements.
- Tax Structuring & Planning:
- Structure and advise on the tax aspects of corporate and partnership transactions.
- Provide strategic tax planning related to transactions, ensuring compliance with relevant tax laws and regulations while maximizing value.
- Engage in tax planning and structuring for transactions in one or more of the following areas: mergers and acquisitions, private equity, debt finance, bankruptcy/financial restructuring, special situations, and/or private credit.
- Research & Advisory:
- Conduct detailed research on complex tax issues, providing clear, concise, and actionable advice to clients and internal teams.
- Stay updated on changes in tax laws and regulations, ensuring that the firm’s clients receive the most current and effective tax advice.
- Client Engagement:
- Work closely with clients to understand their business objectives and tailor tax strategies to meet their specific needs.
- Communicate complex tax concepts in an understandable and relatable manner, ensuring clients are fully informed of their options and the implications of their decisions.
Qualifications:
- Experience:
- A minimum of 2 years of transactional tax experience at a large law firm or equivalent experience at a Big Four accounting firm.
- Skills:
- Proven expertise in drafting and negotiating tax-related provisions in transaction documents.
- Strong analytical skills with the ability to conduct thorough research on complex tax issues.
- Experience with structuring tax aspects of corporate and partnership transactions.
- A practice focused in one or more areas such as mergers and acquisitions, private equity, debt finance, bankruptcy/financial restructuring, special situations, and/or private credit is preferred.
