Job Description
We’re looking for an experienced and dynamic Sr. Paralegal who thrives in a high-paced environment to join the Dynatrace Legal Team. This position will have primary responsibility to deliver highly efficient company secretarial services and corporate governance support to a diverse portfolio of legal entities globally.
In addition to providing practical guidance to our cross-functional partners in finance, tax, treasury and legal in connection with the corporate compliance and legal entity management, the successful candidate will have a keen interest in creating scalable processes and efficient coordination of subsidiary-related initiatives.
This is a hybrid role, candidates should be able to travel to our Waltham office twice a week.
- Oversee and manage all aspects of global subsidiary maintenance, including maintaining the entity management database and corporate records, completing periodic filings or registrations, facilitating directors’ and officers’ changes, managing corporate reorganization projects and coordinating across internal stakeholders and third-party service providers to ensure a robust global governance process.
- Draft and review documents related to subsidiary entities, including formation documents, board and shareholder meeting minutes and consents, Power of Attorney (POA), annual account filings, and other compliance documentation.
- Assist with requests for information and documentation (internal stakeholder or audit related), such as know-your-customer (KYC), ultimate beneficial owner (UBO) requirements and develop standardized responses.
- Assist with drafting and development of templates, forms and other legal documents and coordination of approvals, signatures, notarization, and legalization of documents.
- Help with the corporate governance processes including taking the lead on general recordkeeping, preparation and organization of materials, including the Legal Sharepoint page.
- Coordinate across functional areas including Legal, Sales, Tax, Finance and business sponsors to drive efficiencies and implement repeatable processes.
- Manage outside local counsel and third-party vendor activities and budget related to subsidiary governance matters.
Qualifications
Minimum Requirements:
- 5+ years of corporate paralegal experience; ideally within entity management and/or intercompany transactions at a law firm or publicly-traded company.
- Paralegal certificate and/or Bachelors’ degree from an accredited college or university (or equivalent experience)
Preferred Requirements:
- Previous project management experience, and able to demonstrate multitasking skills to manage competing matters,
- Can effectively set own work priorities, meet required work deadlines, and follow-up on outstanding requests.
- Excellent communication skills, both written and verbal,
- Able to build and maintain collaborative working relationships in a matrixed environment
- Excellent writing and analytical skills required to independently review, draft, and prepare documents.
- Ability to handle complexity and demands with a sense of urgency, drive and passion.
- Familiarity with DocuSign, Adobe Acrobat Pro, Sharepoint, and subsidiary management and other legal department tools.

Compensation and rewards
- The salary range for this role is $91,000 – $113,000. When determining your salary, we consider your experience, skills, education, and work location.
- Our total compensation package includes unlimited personal time off, an employee stock purchase plan, and a reward system.
